        Articles of Association of Urban Planning Society of China

        Chapter I General Provisions

        Article 1 The name of the Organization is Urban Planning Society of China (UPSC).

        Article 2 The Organization is an academic, national and non-profit social organization voluntarily formed by urban and rural planning workers, and relevant enterprises and institutions.

        Article 3 The Organization shall, in accordance with the Constitution of the Communist Party of China, establish an organization for the Communist Party of China to carry out Party activities and provide necessary conditions for the activities of the organization.

        Article 4 The Organization shall unite the urban and rural planning workers, abide by the constitution, laws, regulations and national policies, comply with social morality, carry out academic research and exchange activities, promote the construction of urban and rural planning disciplines, spread the scientific knowledge of urban and rural planning, promote the professional development of urban planning, improve the theoretical and practical level of urban and rural planning in China, and provide services for the sustainable development of urban and rural, as well as  the healthy development of urbanization in China.

        Article 5 The Organization shall be under the professional guidance, supervision and administration of the Ministry of Civil Affairs of the People's Republic of China and Ministry of Housing and Urban-Rural Development of the People's Republic of China (business department in charge).

        Article 6 Domicile of the Organization: Beijing.

        Chapter II Scope of Business

        Article 7 The business scope of the Organization includes:

        (1) Carry out academic exchange activities at home and abroad;

        (2) Carry out academic research on disciplines and specialties, and promote the development of disciplines and the training of professionals;

        (3) Promote advanced and applicable technologies for urban and rural planning, and disseminate the scientific knowledge of urban and rural planning;

        (4) Provide consulting and technical services, and undertake relevant scientific and technological evaluation upon authorization by relevant government departments;

        (5) Carry out achievement appraisal, technical standard development and other work upon authorization by relevant government departments, and participate in the work of registered urban planner;

        (6) Organize the editing and publication of academic journals, monographs, popular science books and other publications, and also host websites and other Internet media in accordance with relevant provisions;

        (7) Carry out continuing education and promote knowledge renewal;

        (8) Carry out international academic exchanges and strengthen friendly exchanges with foreign academic groups, and urban and rural planning workers. The Organization, as a national member, shall represent the Chinese Planning Community by joining international planning organizations such as the International Society of City and Regional Planners (ISOCARP) upon authorization by the relevant government departments;

        (9) Hold activities to provide services for urban and rural planning workers, reflect their opinions and requirements, protect their legitimate rights and interests, and recommend talents.

        (10) Hold commendation and reward activities related to urban and rural planning, upon authorization by relevant government departments;

        (11) Other business work that can promote the development of the discipline and industry as well as social public welfare activities that meet the purpose of the Organization.

        Chapter III Members

        Article 8 Types of members of the Organization: individual members and unit members.

        Article 9 Members applying to join the Organization shall meet the following requirements:

        (1) Support the Articles of Association of the Organization;

        (2) Be willing to join the Organization;

        (4) Have certain influence in the business field of the Organization.

        Article 10 The procedures for membership are:

        (1) Submit an application for membership;

        (2) Approval by the Council through discussion;

        (3) Discussion and approval by the Standing Council when the Council is not in session.

        (4) Membership cards are issued by the Council or an agency authorized by the Council.

        Article 11 Members of the Organization shall enjoy the following rights:

        (1) The right to elect, to be elected and to vote for the Organization;

        (2) Participate in the activities of the Organization;

        (3) Possess the right to obtaining the services of the Organization;

        (4) The right to criticize, suggest and supervise the work of the Organization;

        (5) Voluntary membership and free withdrawal;

        (6) The preferential access and right to books, periodicals and information compiled and printed by the Organization;

        (7) Unit members have the right to request the Organization to give assistance in technical consultation, demonstration, appraisal or training.

        Article 12 Members shall perform the following obligations:

        (1) Implement the resolutions of the Organization;

        (2) Protect the legitimate rights and interests of the Organization;

        (3) Complete the work assigned by the Organization;

        (4) Pay membership fees according to regulations;

        (5) Report to the Organization and provide relevant information.

        Article 13 Members shall notify the Organization in writing of their withdrawal and return their membership cards. If a member fails to pay the membership fee for one year or participate in the activities of the Organization, it shall be regarded as an automatic withdrawal from the organization. .

        Article 14 In case of any serious violation of the Articles of Association, the member shall be removed after being voted by the Council or the Standing Council.

        Chapter 4 Organization ,Formation and Dismissal of the Person in Charge

        Article 15 The highest authority of the Organization is the Member Congress, whose functions and powers are:

        (1) Formulate and amend the Articles of Association;

        (2) Election and dismissal of directors;

        (3) Review the work report and financial report of the Council;

        (4) Formulate and revise membership fee standards;

        (5) Determination of termination;

        (6) Discuss and determine the working principles, tasks and major issues of the Organization;

        (7) Determine other major matters.

        Article 16 The general meeting of Member Congress shall not be held until more than 2/3 of the members' representatives are present, and its resolution shall not take effect until voting by more than half of the member representatives.

        Article 17 The term of the Member Congress shall be held for 5 years. If it is necessary to delay or change the term in advance due to special circumstances, it shall be approved by the Council, reported to the business department in charge for review and approved by association registration authority. However, the extension of the term shall not exceed one year.

        Article 18 The Council is the executive body of the Congress, which leads the Organization to carry out its daily work when it is not in session and is responsible to the Congress.

        Article 19 The functions and powers of the Council are:

        (1) Implement the resolutions of the Member Congress;

        (2) Elect and dismiss the president, vice-president and secretary-general; Election and dismissal of executive directors;

        (3) Prepare for the convening of Member Congress;

        (4) Report the work and financial situation to Member Congress;

        (5) Determine the admission or delisting of members;

        (6) Determine the establishment of offices, branches, representative offices and entities;

        (7) Determine the appointment of the Deputy Secretary-General and the principal responsible persons of various institutions;

        (8) Lead the Organization to carry out its work;

        (9) Establish internal management system;

        (10) Reward, commend and award honorary titles;

        (11) Determine other major issues.

        Article 20 The Council shall not be held until more than 2/3 of the directors are present, and its resolution shall not take effect until voting by more than half of the directors present.

        Article 21 The Council shall hold meeting at least once a year; under special circumstances, it may also be held by means of communication.

        Article 22 The Organization shall establish a Standing Council, which will be elected by the Council. When the Council is not in session, it shall exercise the powers specified in Items 1, 3, 5, 6, 7, 8 and 9 of Article 18, and be responsible for the Council (the number of standing directors shall not exceed 1/3 of the number of directors).

        Article 23 The Standing Council shall not be held until more than 2/3 of the standing directors are present, and its resolution shall not take effect until voting by more than half of the standing directors present.

        Article 24 The Standing Council shall hold a meeting at least once every six months. Under special circumstances, it may also be held by means of communication.

        Article 25 The president, vice-president and secretary-general of the Organization shall meet the following conditions:

        (1) Adhere to the Party's line, principles and policies, and have good political quality;

        (2) Have great influence in the business field of the Organization;

        (3) The maximum age for the president and vice-president shall not exceed 70 years old;

        (4) The maximum age for the secretary-general shall not exceed 70 years old, and the Secretary-General shall be full-time;

        (5) Must be healthy and able to work normally;

        (6) Have not been subjected to criminal punishment of deprivation of political rights;

        (7) Have full capacity for civil acts.

        Article 26 If the president, vice-president and secretary-general of the Organization exceed the maximum age for taking office, they shall not hold office until they are voted by the Council, reported to the business department in charge for examination and approved by the association registration authority.

        Article 27 The term of office for the president, vice-president and secretary-general of the Organization shall be 5 years, and the maximum term shall not exceed 2 terms. If it is necessary to extend the term of office due to special circumstances, it shall be approved by more than 2/3 of the member representatives at the Member Congress, reported to the business department in charge for examination and approved by the association registration authority before taking office.

        Article 28 The president of the Organization is the legal representative of the Organization. The legal representative shall sign relevant important documents on behalf of the Organization. In case of special circumstances, the vice-president or secretary-general may act as the legal representative after being entrusted by the president and approved by the Council and submitted to the business department in charge for examination and approval by the registration management authority. The legal representative of the Organization shall not concurrently serve as the legal representative of other organizations.

        Article 29 The president of the Organization shall exercise the following functions and powers:

        (1) Convene and host the Council and the Standing Council;

        (2) Inspect the implementation of the resolutions of the Member Congress, the Council and the Standing Council;

        (3) Organize the formulation of the annual work plan, and also supervise and inspect its implementation.

        Article 30 The Secretary-General of the Organization shall exercise the following functions and powers:

        (1) Lead the Organization to carry out daily work and organize the implementation of     the annual work plan;

        (2) Coordinate the work of all branches, representative offices and entities;

        (3) Nominate the deputy secretary-general and the principal persons in charge of the offices, branches, representative offices and entities to the Council or the Standing Council for decision;

        (4) Determine the employment of full-time staff in offices, representative offices and entities;

        (5) Handle other daily affairs.

        Chapter V Principles of Asset Management and Utilization

        Article 31 Sources of funding for the Organization:

        (1) Membership fee;

        (2) Donation;

        (3) Government funding;

        (4) Income from activities or services carried out within the approved business scope;

        (5) Interest;

        (6) Other legal income.

        Article 32 The Organization shall collect membership fees in accordance with the relevant provisions of the State. The Organization shall carry out appraisal, selection, commendation and other activities without charging any fees.

        Article 33 The funds of the Organization must be used within the business scope and career development stipulated in the Articles of Association and it shall not be distributed among its members.

        Article 34 The Organization shall establish a strict financial management system to ensure that the accounting data are legal, true, accurate and complete.

        Article 35 The Organization shall be equipped with qualified professional accountants. The accountants shall not concurrently serve as cashiers. Accountants must carry out accounting and exercise accounting supervision. When accountants transfer or leave their jobs, they must go through the handover procedures with the takeover personnel.

        Article 36 The asset management of the Organization shall subject to the financial management system stipulated by the State and accept the supervision of the Member Congress and the financial department. Where the source of assets belongs to state appropriation or social donations or subsidy, it must be subject to the supervision of audit institutions and the relevant information shall be disclosed to the public in an appropriate way.

        Article 37 The Organization must accept the financial audit organized by the association registration authority and the business department in charge before changing the term of office or the legal representative.

        Article 38 No unit or individual shall occupy, divide or misappropriate the assets of the Organization.

        Article 39 The salary, insurance and welfare benefits of the full-time staff of the Organization shall be implemented with reference to the relevant provisions of the State on institutional organizations.

        Chapter VI Procedures for Amending Articles of Association

        Article 40 The revision to the articles of association of the Organization shall be submitted to the Member Congress for deliberation after being voted and approved by the Council.

        Article 41 The revised Articles of Association of the Organization shall come into effect within 15 days after being approved by the Member Congress, reviewed and approved by the business department in charge, and approved by the association registration authority.

        Chapter VII Termination Procedures and Disposal of Property after Termination

        Article 42 If the Organization completes its objects, dissolves itself or needs to be cancelled due to division, merger and other reasons, the Council or the Standing Council shall propose a motion for termination.

        Article 43 The motion for termination of the Organization shall be approved by the Member Congress and submitted to the business department in charge, for examination and approval.

        Article 44 Before the termination, it shall establish a liquidation group under the guidance of the business department in charge and other relevant authorities to liquidate the credits and debts, and handle the remaining problems. During the liquidation period, no activities other than liquidation shall be carried out.

        Article 45 The Organization shall be terminated after the registration of the organization has been cancelled by the association registration authority.

        Article 46 Under the supervision of business department in charge and association registration authority, and in accordance with the relevant provisions of the State, the remaining property after the termination of the Organization shall be used for the development of undertakings related to the purpose of the Organization.

        Chapter VIII Supplementary Provisions

        Article 47 The Articles of Association were voted and approved by the 5th Member Congress on May 29, 2016.

        Article 48 The Articles of Association shall be interpreted by the Council of Organization.

        Article 49 The Articles of Association shall take effect as of the date of approval by the association registration authority.
